Parties and Scope

These Terms of Use (the "Terms") govern the use of the software service (the "Service") provided by OptiMor ("OptiMor") via optimor.io and app.optimor.io. By creating an account or using the Service, you are deemed to have accepted these Terms.

Description of the Service

OptiMor is a cloud software service that brings the written and voice customer communication channels of businesses together in a single panel and offers artificial intelligence powered answering, routing, recording and reporting features. The scope of the Service is determined according to the selected plan and quota.

Account and Security

You are responsible for the accuracy and confidentiality of your account information. Transactions carried out through your account belong to you. You must notify us immediately if you suspect unauthorised use.

Acceptable Use

The Service may not be used for unlawful or misleading purposes or for purposes that infringe the rights of third parties. In particular:

·Sending unsolicited bulk messages (spam) and commercial messages contrary to the applicable legislation·Violation of the rules and policies of the connected platforms (WhatsApp, Instagram, marketplaces, etc.)·Reverse engineering or unauthorised access attempts that endanger the security of the Service·Unlawful processing of personal data belonging to third parties

Customer Data and Roles

With respect to the end-user data that you process through the Service, you are the data controller; OptiMor is the data processor. The obligations of the parties under the KVKK are separately governed by the data processing provisions.

Artificial Intelligence Outputs

The artificial intelligence assistant generates its answers from the information and content provided by you. Reviewing the accuracy of the outputs and their suitability for your business processes is your responsibility; for sensitive matters, configuring settings that require human approval is recommended.

Fees, Trial and Quota

Fees are charged according to the selected message and minute quota; current prices are set out on the pricing page and are VAT inclusive. The free trial plan does not require credit card information and no automatic charge is made at the end of the trial. You are notified as you approach your quota limit.

Intellectual Property

All intellectual and industrial property rights relating to the Service belong to OptiMor. You are granted a non-exclusive, non-transferable right of use for use in accordance with the Terms. Your rights over the content you upload to the Service are reserved; we process such content solely in order to provide the Service.

Service Level and Limitation of Liability

It is not guaranteed that the Service will be uninterrupted or error free; planned maintenance is announced in advance. Save for cases in which liability cannot be limited by law, OptiMor's liability is limited to the fees paid within the 1 month preceding the relevant event; indirect damages, loss of profit and loss of data are outside this scope.

Suspension and Termination

In the event of a breach of the Terms, the Service may be suspended or terminated. You may terminate your subscription through the panel; the termination and refund conditions are set out in the Distance Sales Agreement (Mesafeli Satış Sözleşmesi). Following termination, your data is kept accessible for export for 3 years and is then erased.

Changes

Material changes to the Terms are announced by e-mail or panel notification before they enter into force.

Governing Law and Jurisdiction

These Terms are subject to Turkish law. The courts and enforcement offices of Istanbul have jurisdiction over disputes; for users who qualify as consumers, the statutory rights relating to the consumer arbitration committees (Tüketici Hakem Heyetleri) and the consumer courts (Tüketici Mahkemeleri) are reserved.
